Clause 1 — Nature of Engagement
Contractor is engaged as Independent Contractor, NOT as employee. No employer-employee relationship, partnership or joint venture is created.
Clause 2 — Scope of Work
Contractor agrees to perform data annotation, transcription, audio labeling, image tagging, text review or any other assigned task digitally through the platform.
Clause 3 — Remuneration
Paid on per-task basis via Bank Transfer ONLY after: (a) Invoice submitted and approved (b) Task completion verified by Company (c) TDS deducted as per Income Tax Act.
Clause 4 — TDS & Tax Obligations
TDS deducted under Section 194J: 10% if valid PAN submitted, 20% if PAN not submitted. Form 16A issued quarterly. Contractor responsible for own ITR filing.
Clause 5 — Invoicing
Contractor must raise invoice through platform for each billing period before payment. Invoice must include: period, task type, count, rate, gross, TDS, net payable.
Clause 6 — Confidentiality
Contractor shall NOT share, copy or distribute any task data, client or project information. Breach = immediate termination + legal action.
Clause 7 — Intellectual Property
All work product is sole property of Barg Info Solutions Pvt Ltd and/or its clients. Contractor waives all moral rights to work product.
Clause 8 — Quality & Accuracy
Minimum accuracy rate required per task type. Sub-standard work may be rejected without payment or require rework at no additional cost.
Clause 9 — Termination
7 days notice by either party. Immediate termination for: confidentiality breach, false documents, fraudulent invoicing, quality failure. Pending approved invoices settled within 30 days.
Clause 10 — Governing Law
Governed by laws of India. Disputes subject to courts in Nellore, Andhra Pradesh.
Clause 11 — Document Verification
All submitted documents must be genuine. Aadhaar, PAN, bank account must be in own name. False submission is a criminal offence.
Clause 12 — Platform Terms
Use platform only for legitimate work. Do not share login credentials. Abide by all task guidelines issued by Company.
By proceeding, Contractor confirms they have READ, UNDERSTOOD and AGREED to all terms. Digitally executed under IT Act, 2000. Agreement Date: 29/08/2026.
